These Terms of Use ("Terms") form a legally binding agreement between Navneet Trust, operating under the trade name Gala Intelligence ("Gala Intelligence", "we", "our" or "us"), and the person or entity that accesses or uses a Gala Intelligence Service ("you" or "your").
These Terms are the company-level terms for Gala Intelligence. Individual products may have separate product terms, order forms, licences, data-processing terms or Customer Agreements. Those documents form part of the applicable contractual framework as described below.
Electronic acceptance, including clickwrap acceptance where used, may be used to form and evidence this agreement to the extent permitted by applicable law.
You agree to these Terms when they are made available to you and you indicate acceptance through the applicable registration, purchase or acceptance process. Where an organisation purchases a Service, acceptance on its behalf must be given by a person authorised to bind that organisation. An authorised user's access does not, by itself, authorise that user to amend the organisation's separately signed agreement.
If you do not agree, you must not use the relevant Service.
You must have legal capacity to enter into a binding agreement. If you act for an organisation, you represent that you are authorised to act for that organisation. Product-specific terms may impose additional age, eligibility or verification requirements.
Nothing in these Terms excludes mandatory consumer or statutory rights that apply notwithstanding these Terms.
Gala Intelligence operates products with different technical, commercial and legal requirements. A particular Service may therefore be subject to product-specific Terms, a software licence, an Order Form, a Master Services or SaaS Agreement, Data Processing Terms or another signed agreement.
If there is a conflict concerning a particular Service, the following order applies unless the relevant signed agreement expressly states otherwise:
Product-specific documents override these Terms only for the Service and subject matter they specifically address. Applicable Data Processing Terms govern Customer Personal Data processed on documented Customer instructions and prevail over conflicting general provisions concerning that processing, subject to any valid express amendment in a signed agreement. No order of precedence excludes mandatory rights or obligations.
Promptly notify support@galaintelligence.com if you become aware of suspected unauthorised access or compromise of your credentials.
Subject to applicable product terms, payment obligations and compliance with these Terms, Gala Intelligence grants you a limited, revocable, non-exclusive, non-transferable and non-sublicensable right to access and use the relevant Service for its permitted purpose during the applicable term.
Gala Intelligence may update, patch, improve, replace, suspend or discontinue features for security, legal compliance, technical, third-party dependency, operational or commercial reasons. Where a separately signed Customer Agreement contains continuity or change commitments, that agreement governs.
For an existing paid Service, Gala Intelligence gives at least 30 days' advance notice of a planned discontinuation or material reduction of purchased functionality, unless earlier action is reasonably necessary for security, legal compliance or circumstances outside its reasonable control. Where advance notice is not possible, Gala Intelligence provides notice as soon as reasonably practicable. Applicable cancellation and refund rights under Section 11 and any Customer Agreement remain unaffected.
Beta, preview, trial or experimental features may be incomplete, unstable or changed or withdrawn. Unless expressly agreed otherwise, they are provided without production-level service commitments.
You retain rights in data or content you lawfully submit, subject to the rights necessary for Gala Intelligence to host, process, transmit, display, analyse or otherwise use that information to provide, secure, support and administer the relevant Service.
You represent that you have the rights, notices, consents, permissions or other lawful authority required to submit and use Personal Data or other third-party information through the Service for your intended purpose.
If you submit Personal Data about individuals who do not have a direct relationship with Gala Intelligence, you remain responsible for the lawful basis, transparency and rights-handling obligations applicable to your processing. Where Gala Intelligence processes that data solely on your instructions, the applicable Customer Agreement or product Data Processing Terms govern that processing.
The technical ability to query a phone number, email address, contact, account or other identifier does not by itself establish a lawful right to do so.
The permission to process submitted information is limited to the relevant Service, the applicable processing role and the purposes permitted by the relevant agreement and privacy notice. Submission does not, by itself, authorise unrelated reuse, independent intelligence processing or unrelated model training.
You must use the Services lawfully and only for authorised purposes. You must not:
Certain Gala Intelligence Services may provide classifications, assessments, recommendations, indicators or other information generated from available data and analytical methods.
Gala Intelligence does not guarantee that such information or Outputs will always be complete, current, accurate or suitable for a particular purpose. You are responsible for how you use information obtained through the Services and should exercise appropriate judgment before relying on it.
You must not use the Services or any Output in an unlawful manner or in a manner that infringes the rights of another person.
Additional requirements or restrictions may apply to particular Services and will be set out in the applicable product-specific terms.
The Services may depend on third-party hosting, payment providers, communications systems, app stores, APIs, databases, licensed information, public information or other independent services or sources.
Gala Intelligence does not control the continued availability, accuracy, completeness, pricing, policies or technical operation of independent third parties. Gala Intelligence may change, restrict or discontinue affected functionality where a third-party source or integration becomes unavailable, unlawful, commercially impracticable or technically unsuitable.
Third-party products and services are subject to their own terms and policies.
Gala Intelligence Services may be accessible from multiple countries. Availability or accessibility of a Service in a particular country or region does not mean that the Service, or every use of it, is lawful or appropriate in that jurisdiction.
You are responsible for using the Services in accordance with laws applicable to your use. Gala Intelligence may restrict, suspend or refuse access where reasonably necessary to comply with applicable law, sanctions, governmental restrictions or other binding legal requirements.
Your responsibility for lawful use does not replace Gala Intelligence's responsibility for the offering and processing it undertakes. Any restriction or suspension under this section remains subject to applicable contractual and mandatory rights.
Personal-data processing is governed by the Gala Intelligence Privacy Policy, applicable product-specific privacy notices and any applicable Customer Agreement or product Data Processing Terms.
Where Gala Intelligence processes Customer Personal Data solely on Customer instructions, the applicable processor terms govern that activity. Acceptance of these Terms is not a substitute for separate privacy consent where applicable law requires specific affirmative consent from an individual.
You may submit a privacy request, including a request for access, correction, deletion or withdrawal of consent, to privacy@galaintelligence.com. Include the relevant product, your account email, mobile number or other identifier concerned, the request you wish to make and a way to contact you. An account or paid subscription is not required. Do not provide passwords, OTPs or API keys.
Where nomination rights apply, you may use the same address to register, change or withdraw a nomination of one or more individuals to exercise applicable rights following your death or incapacity. Provide your relevant identifier, the nominee's name and contact details, and the scope of the nomination. Appropriate verification is required before a nominee acts.
The applicable Privacy Policy explains verification, response arrangements, retention exceptions and complaint escalation. Where Gala Intelligence acts solely on a Customer's instructions, it will refer or assist with the request as appropriate. Acceptance of these Terms does not waive privacy rights or authorise processing of another person's Personal Data without the required permission.
Gala Intelligence may offer certain Services, features or usage plans for which a fee is payable ("Paid Services").
If you purchase or subscribe to a Paid Service, you agree to pay the applicable fees, taxes and other charges disclosed at the time of purchase or specified in the applicable product terms, Order Form, Customer Agreement or payment flow.
Payments may be processed through an app store, payment provider or other third-party billing platform. Where applicable, your purchase and payment are also subject to that provider's payment and billing terms.
For recurring subscriptions, applicable fees and taxes will continue to be charged for each subscription period unless the subscription is cancelled in accordance with the applicable purchase, product or payment-platform terms. Cancellation ordinarily takes effect at the end of the current paid subscription period unless otherwise stated or required by applicable law.
Gala Intelligence may change the fees for Paid Services from time to time. Any applicable price change will apply prospectively and may be communicated through the relevant Service, payment flow, product terms or another reasonable method.
Except where expressly provided otherwise or required by applicable law, fees already paid are non-refundable.
Failure to pay applicable fees when due may result in suspension, restriction or termination of access to the relevant Paid Service.
Additional payment, credit, usage, renewal, refund or cancellation terms may apply to particular Services and will be stated in the applicable product-specific terms, Order Form or Customer Agreement.
Gala Intelligence and its licensors retain all right, title and interest in the Services, including software, source and object code, interfaces, APIs, designs, models, algorithms, workflows, documentation, report structures, proprietary databases, data-enrichment and risk-intelligence methods, trademarks and improvements.
Except for the limited right to use a Service under these Terms and applicable product terms, no intellectual-property rights are transferred to you.
If you voluntarily provide suggestions or feedback, Gala Intelligence may use that feedback without restriction or compensation, provided Gala Intelligence does not thereby acquire ownership of Customer Data or confidential information.
Where you use a Service for business or professional purposes, you must protect non-public Gala Intelligence information, credentials, documentation, pricing, security information and other confidential information using reasonable care and use it only for the permitted relationship.
Gala Intelligence will protect Customer confidential information and Customer Data in accordance with the applicable agreement, Privacy Policy and law.
Confidentiality obligations do not apply to information lawfully public without breach, independently developed without use of confidential information, lawfully received without restriction, or required to be disclosed by law subject to legally permitted notice.
Your right to use the Services continues until these Terms are terminated.
Gala Intelligence may terminate these Terms or discontinue your access to the Services by providing thirty (30) days' advance notice where reasonably applicable.
You may stop using the Services at any time. Where an account-closure function is available, you may also close your account using the applicable controls.
Upon termination, you must cease any use of the Services that is no longer authorised. Fees already paid are non-refundable except where these Terms, an applicable product-specific agreement or applicable law provides otherwise.
Provisions which by their nature are intended to survive termination, including provisions relating to intellectual property, disclaimers, limitation of liability, accrued payment obligations and dispute resolution, will continue to apply after termination.
Gala Intelligence strives to provide reliable and high-quality Services. However, Gala Intelligence does not guarantee that the Services will be uninterrupted, continuously available or error-free. Availability may be affected by maintenance, technical limitations, third-party services, operating systems, telecommunications or internet networks, security events, or circumstances beyond Gala Intelligence's reasonable control.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” AND ARE USED AT YOUR OWN RISK.
To the maximum extent permitted by applicable law, Gala Intelligence makes no warranty or representation, express or implied, regarding the Services, including their quality, performance, accuracy, reliability, merchantability, fitness for a particular purpose or non-infringement.
Gala Intelligence does not guarantee the completeness, validity, reliability or correctness of information, classifications, assessments, recommendations or other Outputs made available through the Services. You are responsible for exercising appropriate judgment when using or relying on such information.
To the maximum extent permitted by applicable law, Gala Intelligence, its affiliates, officers, employees, licensors and service providers will not be liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue, data, goodwill, business opportunity or anticipated savings arising out of or relating to the Services.
Except where a signed Customer Agreement or product-specific agreement provides otherwise, Gala Intelligence's total aggregate liability for claims arising out of or relating to a paid Service will not exceed the amount of fees actually paid by the claimant to Gala Intelligence for that Service during the twelve (12) months immediately preceding the event giving rise to the claim.
Where the claimant has used the relevant paid Service for less than twelve (12) months, the liability cap will be limited to the fees actually paid during that shorter period.
Where no fees have been paid for the relevant Service, Gala Intelligence's liability will be limited to the extent permitted by applicable law.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence where such liability cannot lawfully be excluded or limited, or any other liability, statutory right, consumer protection or remedy that applicable law does not permit to be excluded or limited.
Where a signed Customer Agreement or product-specific agreement contains a different warranty or limitation-of-liability provision, that provision will govern the relevant Service to the extent of any conflict.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GALA INTELLIGENCE, ITS AFFILIATES, OFFICERS, EMPLOYEES, LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES OR INFORMATION PROVIDED THROUGH THE SERVICES.
Gala Intelligence will not be liable for the validity, reliability or correctness of information or Outputs provided through or in connection with the Services. Any use of or reliance upon such information or Outputs is at your own discretion and risk.
Gala Intelligence is not responsible for losses, damage or other consequences arising from the acts, reports, submissions or conduct of other users or independent third parties, except to the extent responsibility cannot lawfully be excluded.
Where a signed Customer Agreement or product-specific agreement contains a different limitation-of-liability provision, that provision will govern the relevant Service to the extent of any conflict.
Nothing in these Terms excludes or limits any liability, statutory obligation, regulatory power or mandatory consumer or other right that cannot lawfully be excluded or limited.
These Terms are governed by the laws of India, subject to mandatory laws and statutory forums that apply notwithstanding this clause.
Where a separately signed Customer Agreement contains a dispute-resolution provision, that provision governs the relevant contractual dispute, subject to mandatory rights.
Where no such agreement applies, the parties should first attempt in good faith to resolve a dispute through written notice and discussions for 30 days, where appropriate. This discussion period does not prevent urgent relief or the exercise of a mandatory right within an applicable deadline.
Subject to mandatory statutory forums, the courts at Ahmedabad, Gujarat will have jurisdiction for interim relief, supervision and enforcement.
Subject to mandatory jurisdiction rules and the arbitration provisions above, courts at Ahmedabad, Gujarat, India will have jurisdiction over matters properly brought before them, including interim relief, supervision and enforcement.
To submit a grievance, explain the issue, identify the relevant Service and provide a contact address and any existing request reference. Include only information reasonably necessary to investigate the matter.
Gala Intelligence will respond to grievances within 90 calendar days of receipt, or sooner where required by applicable law. Where additional information or verification is reasonably necessary to process the grievance, Gala Intelligence may request proportionate information or evidence. Any verification process will be limited to what is reasonably necessary and will not be used to improperly delay the handling of a grievance.
If you are dissatisfied, reply requesting review by the designated grievance contact. You may also use the competent authority's published complaint mechanism after completing any required prior grievance process.
